In short
- You need a valid FSSAI licence or registration, and you are responsible for the safety of the food you sell.
- List only real surplus food, describe it honestly, and price it at least 30% below your normal price.
- Hand over an order only after entering the customer's pickup code in the app.
- Stataa keeps 15% of the order value as commission, and that includes any GST on it. You keep the rest. There is no joining fee, no subscription, and no payment gateway charge for you. You are usually paid within 2 business days after a sale becomes payable.
- Cancelling confirmed orders earns strikes. Repeated strikes, unsafe food or dishonesty mean suspension.
1. This agreement
This agreement is between to be published ("Stataa", "we") and the business that registers a shop on Stataa ("you"). It is the written contract the Consumer Protection (E-Commerce) Rules, 2020 require between a marketplace and its sellers. Our Terms of Use and other policies also apply to you. The person accepting confirms they may sign for the business.
2. Who can sell
- A food business in India with a valid FSSAI licence or registration covering your premises and the food you list, in your shop's name and address. Home kitchens need their own valid FSSAI registration.
- An owner or manager aged 18 or older, with the right to use the premises.
- GST registration where the law requires it, and a PAN.
Before approval we check your FSSAI number on FSSAI's systems, your certificate image, shop photos and map pin. We may ask for more information or refuse an application. Approval is not a food-safety inspection or certificate, and you must not describe it as one.
Tell us at sellers@stataa.com within 24 hours if your FSSAI licence or registration expires, is suspended or cancelled, or if your shop closes or moves.
3. What we show customers
As consumer law requires, we show your shop name and legal business name, address and map pin, FSSAI number, a contact number for complaints, your photos, logo and listings. Keep these details, and your GSTIN and PAN where applicable, up to date.
Name a person at your shop to handle complaints, and reply to every complaint we send you within 24 hours, so we can together meet the legal deadlines (acknowledge within 24 hours, resolve within 7 days).
4. Honest listings
- Surprise Bag: state the food category, the estimated normal value, the veg / non-veg / contains-egg marking and the allergens. The contents, at your normal prices, must be worth at least the value you state. Every item in the bag must match the marking and the allergen list.
- Item: state its exact name and quantity or weight. For packaged food, show the details the Legal Metrology rules require online, including MRP, net quantity, the manufacturer's name and the best-before or use-by date.
- Price: at least 30% below your normal price for the same food, which means the price you usually charge at your counter. Never inflate the "normal" price. Never charge more than the MRP.
- Photos: real photos of your food. If a photo is only an example, say so.
- Veg marking follows FSSAI rules: food with egg is non-veg and also carries "contains egg". Wrong marking is a serious breach.
- Quantity: list only what you really have. Once food is reserved, do not sell it to anyone else.
- Pickup window: choose times when you are open, staffed and the food is ready.
- Dates: never list food past its use-by or expiry date. Packaged food must be within its best-before date at handover and meet FSSAI's current shelf-life rule for food sold online (in 2024: at least 30% of shelf life, or 45 days before expiry, remaining at delivery). Loose sweets need a best-before date, as FSSAI requires.
- Temperature: keep hot food above 60°C and cold food at 5°C or below until handover. If you cannot do that for the whole window, do not list the food.
5. Prohibited items
You must not list:
- alcohol, bhang or cannabis products, tobacco in any form, or e-cigarettes;
- medicines (including Ayurvedic and other traditional medicines), health or protein supplements, nutraceuticals, or food for special medical purposes;
- infant milk substitutes, infant foods or feeding bottles, whose discounted sale and promotion is restricted by law;
- food past its use-by or expiry date, recalled or seized food, food under a safety alert, or food in damaged, swollen, leaking or tampered packaging;
- food that was served to a customer, left on a buffet or self-service counter, or returned;
- raw meat, poultry, fish and seafood, frozen food and ice cream (not allowed during the pilot);
- chilled food you cannot keep at 5°C or below until handover;
- home-cooked food without a valid FSSAI registration, or food made on premises that your licence or registration does not cover;
- packaged food without the labels the law requires, food with false health claims, or food labelled "organic" without certification;
- anything illegal, and anything that is not food.
We may remove any listing we reasonably believe is unsafe or unlawful.
6. Orders and handover
- Set confirmed orders aside, ready by the start of the pickup window, and keep them until it ends.
- Hand over only after entering the customer's 6-character pickup code in the app. Anyone with the correct code may collect. If you hand over without the code and the real customer then arrives, you must serve them or the refund is charged back to you.
- Never accept cash, UPI, a payment screenshot or a QR code for a Stataa order. The customer has already paid in the app. Never ask customers for OTPs or personal details.
- If a customer complains at the counter, be polite and ask them to report it in the app.
- Cancel only if you truly cannot fulfil an order, and as early as possible. The customer gets a full refund and you get a strike.
- If the customer does not come within 30 minutes after the window ends, it is a no-show and you are paid. After that the app no longer accepts the code; you may still give the food if the customer turns up, but it isn't recorded.
7. Commission, payouts and taxes
Commission
Stataa charges a commission of 15% of the order value (the price the customer paid). The commission includes GST: Stataa pays any GST due on its commission out of that 15%, so nothing more is deducted from you for it. Once Stataa is registered for GST, we issue you a tax invoice for the commission showing its taxable value and the GST inside it. There is no joining fee, subscription or listing fee. Stataa pays the payment gateway charges. We will give you at least 30 days' notice before raising the commission.
For example, if the commission is 15% and an order is ₹200, the commission is ₹30 in total (at 18% GST that is ₹25.42 plus ₹4.58 GST), and you receive ₹170, minus only any tax the law requires us to deduct or collect from sellers (such as TCS or TDS).
Payouts
- Customers pay Stataa in the app, through our payment partner, a payment aggregator authorised by the Reserve Bank of India. You never collect money at the counter.
- For every order that is collected (or becomes a no-show), you earn the order value minus our commission. It becomes payable 24 hours after pickup, once the window for customers to report a food problem has closed. Stataa pays it to your verified bank account or UPI ID, normally within 2 business days of becoming payable. You can see every sale, deduction and payout in the app under Money.
- You add your payout details in the app. We verify them before the first payout: the account holder's name must match your shop's legal owner or business, and we may send ₹1 and ask you to confirm it. We store the account number or UPI ID encrypted.
- Changing payout details needs fresh verification, and payouts keep going to your previous details until 48 hours after the change is verified. We tell you the moment a change is made. We never skip this, however urgent a request seems.
- Stataa will never ask for your bank password or OTP, or for a fee to "activate" payouts.
Refunds and charge-backs
- If a customer is refunded because of you (you cancelled, did not hand over, or a food complaint was upheld), we recover the amount from that order's payout or, if already paid, from your next payouts. For a full refund we do not keep our commission; for a partial refund it is reduced in proportion.
- If your payouts do not cover it within 30 days, we send a payment request through the app, never to a personal UPI ID.
- We tell you the reason and share the evidence. You can dispute it at sellers@stataa.com within 7 days.
Taxes
You are responsible for your own taxes, including GST registration where required, charging the correct GST and filing returns. Where the law requires Stataa, as the e-commerce operator, to collect tax at source under GST, deduct tax at source under income tax law, or pay GST itself on your supply (as for restaurant services sold through e-commerce operators), we will do so, adjust your payout, and show it in your statement. Ask your tax adviser how these rules apply to you.
8. Strikes, suspension and ending the agreement
- You get a strike for cancelling a confirmed order, failing to hand over during the window, an upheld food complaint, or a misleading listing. We tell you about each strike and why.
- Repeated strikes lead to limits on your listings, then suspension, then termination.
- We may suspend you at once, without earlier strikes, for a serious food-safety risk, wrong veg marking, an invalid FSSAI licence, a fake shop, fraud, prohibited items, taking payment outside the app, or harassment.
- You can respond to a strike or suspension at sellers@stataa.com within 7 days, and escalate to the Grievance Officer.
- You may end this agreement at any time by closing your shop, after completing or cancelling open orders. We may end it with 30 days' notice, or immediately for a serious breach.
- After it ends, we pay what you are owed for completed orders, minus amounts to be recovered.
9. Data
- Use customers' names and order details only to complete their orders. Do not keep, share or market to them, or photograph customers. Follow the Digital Personal Data Protection Act, 2023.
- We handle your data as our Privacy Policy explains. You allow us to use your shop name, photos and logo to show your shop on Stataa and in our promotion of Stataa shops; you can ask us to stop using your logo in promotion.
10. Food safety and authorities
You are the Food Business Operator. Follow the Food Safety and Standards Act, 2006 and its regulations (including hygiene, labelling and FSSAI directions), and Legal Metrology, consumer, tax and local laws. Cooperate with food safety officers. If you learn of a safety problem with food sold through Stataa, pause your listings and tell us at once. We may pause listings, ask for information, and share it with authorities when the law requires.
11. Promises, indemnity and liability
- You promise your information is true, your licences are valid, and your food is safe, lawful and as described.
- You will make good any loss, fine, penalty or reasonable legal cost Stataa suffers because of your food, your breach of this agreement, false information, or your breaking a law, except where Stataa itself was at fault.
- Stataa's total liability to you is limited to the commission we earned from you in the 3 months before the claim. This limit does not apply to payouts you are owed or to our fraud or wilful misconduct. Neither side is liable for indirect losses.
12. General
- You and Stataa are independent businesses, not partners or employer and employee.
- We may change this agreement with 15 days' notice (30 days for a commission increase). If you do not agree, you may end it before the change applies.
- Notices to you go to your registered email; notices to us go to sellers@stataa.com.
- Indian law applies. We will first try to settle disputes through sellers@stataa.com and the Grievance Officer. If that fails within 30 days, the courts at New Delhi have jurisdiction.
